Terms of Service

1. Acceptance of Terms

By registering for or using the DabDash platform ("Service"), operated by Shadow Software LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the platform, including vendors (businesses that operate storefronts) and their end-customers.

2. Description of Service

DabDash is a multi-tenant software-as-a-service (SaaS) platform that enables cannabis retailers ("Vendors") to operate branded online delivery storefronts. The Service includes:

  • A branded storefront on a DabDash subdomain (yourstore.dabdash.com) with optional custom domain support
  • Product catalog management with cannabis strain data integration
  • Interactive delivery zone mapping with polygon-based boundaries
  • Inventory management, mix & match pricing, coupons, and freebie thresholds
  • Cash-on-delivery order management and delivery slot scheduling
  • Customer accounts, loyalty points, and order history
  • Analytics dashboard, PDF invoices, and CSV exports

DabDash is a technology platform only. We do not sell, distribute, deliver, or facilitate the sale of cannabis products directly. All sales, deliveries, and regulatory compliance are the sole responsibility of the Vendor.

3. Eligibility & Compliance

You must be at least 21 years of age to register as a Vendor. You are solely responsible for ensuring that your use of the Service complies with all applicable federal, state, and local laws, including but not limited to cannabis licensing requirements, age verification obligations, tax collection, and delivery regulations. DabDash does not verify cannabis licenses and assumes no responsibility for Vendor compliance with cannabis regulations.

4. Account Registration

You must provide accurate and complete information when registering your account. Each account creates one storefront on a unique subdomain. You are responsible for maintaining the security of your account credentials and must notify us immediately of any unauthorized access. DabDash is not liable for any loss resulting from unauthorized use of your account.

5. Free Trial

New accounts receive a 7-day free trial with full access to all Platform features. No credit card is required to start a trial. When the trial expires, your vendor dashboard will be restricted and you will be prompted to subscribe. Your storefront will remain online during the trial period. All data created during the trial is preserved — nothing is deleted if you choose not to subscribe.

6. Subscription Plans & Billing

After the free trial, continued access to the Service requires a paid monthly subscription:

  • DabDash Platform — $95/month. Includes all core storefront, inventory, order management, and analytics features.
  • SEO MAX Add-On — $66.99/month (requires Platform subscription). Includes SEO health audits, meta tag editor, Schema.org controls, 301 redirect manager, and Google Search Console integration.

All subscriptions are billed monthly in advance via Stripe. There are no setup fees, no annual contracts, and no platform transaction fees — DabDash never takes a percentage of your sales. All fees are non-refundable unless required by law. We reserve the right to change pricing with 30 days written notice. If you cancel, your subscription remains active through the end of your current billing period.

7. Vendor Storefront & Customer Data

As a Vendor, your storefront operates as a cash-on-delivery ordering system. Customers browse products, place orders, and pay your delivery driver directly — no online payment processing occurs through the platform for customer transactions.

You are the data controller for all customer data collected through your storefront (customer names, addresses, phone numbers, order history). You are responsible for complying with applicable privacy laws regarding your customers' data. DabDash processes this data on your behalf as a data processor.

8. Custom Domains

The Platform plan includes custom domain support. You may point your own domain to your DabDash storefront via CNAME record. DabDash automatically provisions and renews SSL certificates for verified custom domains. You are responsible for maintaining your domain registration and DNS configuration.

9. Prohibited Uses

You may not use the Service to:

  • Sell cannabis products in jurisdictions where it is illegal
  • Sell to persons under the legal purchasing age
  • Operate without required cannabis business licenses in your jurisdiction
  • Engage in any fraudulent, deceptive, or harmful activity
  • Upload content that infringes third-party intellectual property rights
  • Attempt to reverse-engineer, scrape, hack, or disrupt the Service
  • Resell, sublicense, or transfer access to the Service to any third party
  • Use the Service to create a competing product or service
  • Use the Service in any way that violates applicable law or regulation

10. Intellectual Property

All intellectual property rights in the Service — including all code, APIs, algorithms, designs, cannabis strain database, and related materials — are and shall remain the exclusive property of Shadow Software LLC, protected by copyright law and international treaties.

You retain full ownership of the content you upload (products, images, descriptions, store branding). By uploading content, you grant DabDash a limited, non-exclusive license to host, display, and serve that content as part of your storefront for the duration of your subscription.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee:

  • Uninterrupted or error-free operation of the platform
  • Accuracy or completeness of cannabis strain data provided through the platform
  • That the Service will meet your specific business requirements
  • Specific sales results, customer traffic, or business outcomes

12. Limitation of Liability

To the maximum extent permitted by law, Shadow Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of profits, revenue, data, or business interruption. Our total liability to you shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

13. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or illegal activity. You may cancel your subscription at any time from your billing dashboard. Upon termination, your storefront will be taken offline and your data will be retained for 30 days before permanent deletion. You may request an export of your data during this retention period.

14. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Florida.

15. Changes to Terms

We may update these Terms at any time. We will notify you by email and by posting the updated Terms on this page with a revised "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.
